What is this rusty rattlin' piece?

So I've had my Corolla about a year. It's a '99 LE, with 70k on the odo, well.. now about to be 80.
And since the day I got it it goes blurrbrbrbrbr when I start it, and when I rev it in a low gear.

I've done simple body work, filter swapping, etc. But I feel this isn't something I can do at home without many tools. Either way, I have friends with tools. But if this is probably something for the shop I could do that as well, would just prefer to buy the parts myself and fix it myself because ya know, I drive a '99 corolla. I'm poor.

That looks like a shield of some sort. Is it rattling on the exhaust?

Yup, something fierce everytime I start it. And when I'm in lower gear I can hear it. But once its been going for a while it goes away. I think it's all the air going through the exhaust making the exhaust rattle on it. I think what it's rattling on actually is probably the piece above it.. or both. I dunno, I'll post a video when I get a chance!

looks like some sort of heat shield. With no other picture to go by I would guess it has rusted trough a few screw mounts and is loose.
